| May 13, 2008 | New SEC Private Offering Reform Proposals and Rules Intended to Modernize Certain Capital Raising and Disclosure Requirements, Including Revisions to Rule 144, Rule 145 and Regulation D (BLSS)
Abstract: In May of 2007 the Securities and Exchange Commission (SEC) proposed a number of measures to modernize and improve capital raising and reporting and disclosure requirements, with an emphasis on smaller companies. Some of these modifications may also be of significance to all reporting companies. These rule changes, a number of which have already been adopted by the SEC, include the relaxation of certain limitations on the resale of privately placed and other securities under Rule 144 and Rule 145 and proposed revisions to the limited offering exemption under Regulation D.
